off he top of my head you will need 10mm spanners, 19mmspanner? (for lambda), copperslip grease, hammer and blunt implement to knock cup washers out of mani fixing, a jack, axle stands. think thats about it.
it will be quite obvious when you get under the car. not the hardest job to do but it can be a pain in the ass if you are working with a jack rather than a ramp/lift.
you can either leave the washer in the mani flange as it will be rusted in! or you can get a hammer to it and remove them and fit the new ones. i would personally fit the new ones and file/sand/whack with a hammer the surface rust off the mani flange.
i would always replace the fixing kit and donut washer between the mani and cat. you will 99% sure have an exhaust leak if the donut washer is not replaced.
